Terms & Conditions


General: Colorlites Ltd (the Seller) enters into contracts of sale only upon the basis of these conditions as below unless agreed by both parties in writing. The Seller intends to provide the services to his best ability to meet the Buyers requirements.

Quotations,Orders: By acknowledging a Buyers order, or in the absence of one, these conditions will be applied up to and including delivery, unless otherwise agreed.

Samples: Samples are supplied where required. Coloured are generally produced by hand. Glass can vary slightly from order to order. Where critical please ensure signed off samples are agreed with us to agree tolerances.

Prices: Prices are at the date of invoice and will include any unexpected increases that have been levied since date of quotation or order. Where non store quotations are provided
they are generally for a maximum of 30 days or whilst stock is available, unless agreed in writing.

Terms of Payment: Prices are quoted net, payable 30 days from invoice date, unless agreed otherwise, for approved accounts, otherwise CWO. Overdue Invoices will incur Interest Charges. Where we are required to use Debt Collectors any extra charges will be claimed back.

Delivery: Delivery dates are quoted in good faith and any delay will be advised. The company will not be liable for any delay unless agreed in writing at commencement of Order. In the event of non delivery the Buyer may cancel any outstanding order requirement. Each delivery shall be considered a separate transaction, not affecting the rights of either party under the contract as to remaining deliveries. Non delivery due to war, civil commotion, strikes, machine breakdown, fire, force majeure or any cause whatever beyond the sellers control will not involve liability on the part of the seller.
Where Goods are despatched overseas the buyer is responsible for all import duties and local taxes.

Quality of Glass: The science of coating glass is dependent upon good quality glass being supplied. Some cold end coatings can be overcome whilst others do cause a problem. It is the buyer's responsibility when free issuing glass to ensure the same quality is provided on each delivery. Certain tests can only be carried out across a random selection as agreed.


Good Practice: Glass containers especially coloured become static during the process of colouring and should be blown out before use. 

Damage, Deficiency or non delivery: Within 3 days of part delivery or 10 days after advice of dispatch for full delivery, in writing. 

Quantity: Deliveries will be considered complete within a 10% window and charged accordingly. Where an item is printed we try and achieve -0/+5%

Free Issue Glass: The Company will entertain customers own Glass on the understanding that we will process if we are able to do so. Allowance should be made of 2-5% for scrap.

Incorrectly Ordered Goods: The company will entertain changing goods ordered wrong by a customer if from our standard range and are delivered back carriage paid.

Liability for defective goods: Where any valid claim in respect of any of the Goods which is based on any defect in the quality or condition of the Goods or the failure to meet specifications or wrong supply is notified to the Seller in accordance with these conditions, the Seller will replace the part in question free of charge or credit the Buyers account. The Seller will have no further liability to the Buyer. The Buyer should ensure that adequate Goods Inwards procedures are in place before extra work is carried out. The Buyer is responsible to give the full specification and in particular any inspection criteria to the Seller prior to placement of order. Where Samples have been supplied and are the basis of the Order a signed off example must be returned with the Buyers Order.

Indemnity: The Buyer shall indemnify the Seller against all damages, penalties and costs regarding any work carried out should the Buyers specification be an infringement of a Patent, Copyright or registered design or not suitable for the application.

Special products: Where the Buyer cancels an order for specific goods made up specially outside the Sellers standards, the Buyer shall on cancellation pay all outstanding costs incurred. Where materials can be salvaged this will be taken into account.

Determination: If the Buyer shall make default in or commit a breach of the contract or any other of his obligations to the Seller or if the Buyer becomes insolvent or bankrupt or shall have a receiver appointed or enter into liquidation either voluntary or compulsory or if any execution or distress shall be levied against the Buyers goods the Seller shall have the right to determine any contract the subsisting without giving prior notice of the Buyer but without prejudice to all rights and remedies of the seller herein and the buyer shall recompense the seller in full for all damages and losses incurred by the seller as a result.

Retention of Title: Title to (Goods) shall remain with (Seller) and shall not pass to (Buyer) until the purchase price for (Goods) has been paid in full and received by (Seller). Until title to (Goods) passes, (Seller) shall have authority to retake, sell or otherwise deal with and/or dispose of all or any part of (Goods); (Seller) and its agents and employees shall be entitled at any time and without the need to give notice enter upon any property upon which (Goods) or any part are stored, or upon which (Seller) reasonably believes them to be kept.

Jurisdiction: The contract shall in all respects be governed by and construed in accordance with English law and shall be deemed to have been made in England and the buyer and seller agree to submit to the exclusive jurisdiction of the English courts.
